1. Agreement

These Terms & Conditions govern use of tap4feedback.com and purchases from Tap4Feedback.

Tap4Feedback is a brand/business name operated by GLOBAL HEALTHCARE LEARNING SOLUTIONS INC.

By placing an order or using the website, you agree to these Terms to the extent permitted by applicable law.

Nothing in these Terms excludes or limits a right or remedy that cannot legally be waived.

2. Business Customers and Consumers

Tap4Feedback primarily sells products to businesses for commercial use.

If you purchase on behalf of a business or organization, you represent that you have authority to make the purchase on its behalf.

Ontario's Consumer Protection Act generally defines a "consumer" as an individual acting for personal, family or household purposes, and does not include a person acting for business purposes. (Government of Ontario)

Where a purchaser nevertheless qualifies for mandatory consumer protections, those protections continue to apply despite anything in these Terms.

3. Products

Tap4Feedback products may include:

Tap4 Stand;

Tap4 Plate;

Tap4 Badge;

Tap4 Combo; and

other products introduced from time to time.

Product photographs, dimensions, specifications and descriptions are intended to provide an accurate representation but minor differences in manufacturing, materials, colour reproduction or appearance may occur.

4. Product Function

Tap4Feedback products may use NFC technology, QR codes or both to direct a compatible device to a configured online destination.

Successful NFC operation may depend on factors outside our control, including:

whether the device supports NFC;

device settings;

operating system;

phone case or surrounding materials;

positioning relative to the NFC chip;

browser settings;

network/internet connectivity; and

continued functionality of third-party services.

Where a QR code is provided, it may offer an alternative method of accessing the configured destination.

5. Google Disclaimer

Tap4Feedback is an independent business.

Unless expressly stated otherwise:

Tap4Feedback is not Google;

Tap4Feedback is not sponsored, certified, endorsed by or affiliated with Google LLC;

Google, Google Reviews, Google Business Profile and related names and marks belong to their respective owners.

Tap4Feedback provides a physical technology product that can make it easier for a person to reach the purchaser's chosen Google review destination.

We do not guarantee:

that a customer will submit a review;

a particular review rating;

five-star reviews;

improved Google ranking;

increased visibility;

increased customers;

increased sales or revenue; or

uninterrupted availability of Google's services.

Google may modify its platform, URLs, policies, interfaces or technical systems independently of Tap4Feedback.

6. Customer-Supplied Information

You are responsible for ensuring information provided to us is accurate and authorized, including:

business name;

Google review URL;

Google Business Profile information;

shipping address;

contact information;

logos; and

customization instructions.

You authorize us to use information you provide for the purpose of preparing and fulfilling your order.

7. Programming and Customization

An order may become customized when we begin activities including:

writing or programming NFC data;

generating or applying a QR code;

configuring a destination URL;

preparing customer-specific artwork;

applying customer-specific information; or

otherwise adapting a product to the purchaser's instructions.

Because this work may make the item specific to one business, cancellation and change-of-mind return rights may become restricted once customization has begun, except where applicable law provides otherwise.

8. Incorrect Customer Information

If we correctly program a product using an incorrect URL or other information supplied by you, this will generally be treated as a customer-supplied-information issue rather than a product defect.

Where reasonably possible, we may offer reprogramming, replacement or other correction for a fee disclosed to you before additional work is performed.

If the error was caused by Tap4Feedback, we will correct it at no additional charge or provide another remedy as appropriate.

9. Orders and Acceptance

Submitting an order is an offer to purchase.

We may decline or cancel an order before fulfilment where reasonably necessary because of:

inventory issues;

obvious pricing or description errors;

inability to verify payment;

suspected fraud;

inability to complete requested customization;

prohibited or unlawful use; or

circumstances making fulfilment impracticable.

If we cancel an order after receiving payment and no lawful deduction applies, we will refund the affected amount.

10. Pricing and Currencies

Prices will be shown in the currency applicable to the particular storefront, page or checkout.

Canadian orders may be offered in CAD.

U.S.-focused pages may in the future offer products in USD.

The currency and total displayed at the final checkout govern the transaction.

Any required taxes, shipping charges and other mandatory amounts will be disclosed as required before purchase.

Canadian competition law prohibits materially misleading pricing representations and specifically addresses drip pricing involving mandatory charges that make an advertised price unattainable. (Competition Bureau Canada)

11. Taxes

Applicable taxes, including GST/HST, are charged where required by law and calculated according to the delivery destination and applicable tax rules.

CRA guidance currently identifies 13% HST for supplies made in Ontario, with other rates applying elsewhere. (Canada)

12. Payments

Online payments may be processed using Stripe.

In-person or door-to-door payments may be processed using Square or another supported payment service.

Payment is subject to authorization by the applicable payment provider and financial institution.

You agree not to knowingly submit:

fraudulent payment information;

unauthorized payment credentials; or

false billing information.

Nothing in these Terms restricts a purchaser's legitimate right to dispute an unauthorized or legally disputable charge.

13. Internet Orders

For transactions governed by Ontario's applicable consumer internet-agreement provisions, Tap4Feedback will provide prescribed pre-contract information and an electronic copy/confirmation of the agreement as required by law. (Government of Ontario)

Our checkout and confirmation process should therefore clearly display or provide:

supplier identity/contact information;

product description;

applicable price;

taxes;

shipping charges;

total payable;

payment terms;

delivery/fulfilment information; and

applicable cancellation/refund terms.

14. Processing Time

Order-processing time may include:

payment verification;

receipt/verification of required business information;

NFC programming;

QR creation/configuration;

functionality testing;

packing; and

handoff for shipment or local delivery.

Processing time and carrier transit time are separate.

Any date described as an estimate is not a guaranteed delivery date unless expressly identified as guaranteed.

Mandatory consumer delivery rights remain unaffected.

15. Shipping

We may ship through Canada Post Corporation or other carriers.

Customers are responsible for providing a complete and accurate shipping address.

Where tracking is available, tracking information may be provided after shipment.

Carrier delays caused by weather, operational disruptions, border processing or other circumstances outside our reasonable control may affect estimated arrival dates.

Nothing in this section removes obligations imposed on Tap4Feedback by applicable law.

16. Local Delivery

Local delivery may be offered only within designated areas.

Availability, charges and delivery windows may vary.

A person accepting delivery at the address supplied by the purchaser may be treated as accepting the parcel on the purchaser's behalf where reasonable.

17. Returned-to-Sender and Address Errors

If a shipment is returned because the purchaser supplied an incorrect/incomplete address, refused delivery, or failed to collect a parcel, we may require payment of reasonable additional shipping costs before reshipping.

We will not impose charges resulting from an error caused by Tap4Feedback.

18. U.S. and International Orders

International customers are responsible for accurately entering delivery information.

Depending on destination and applicable law, imports may be subject to:

customs processing;

duties;

import taxes; or

other government charges.

Where such charges are not collected by Tap4Feedback at checkout, they may be assessed by governmental/carrier authorities.

19. Returns and Refunds

Returns, exchanges, cancellations and refunds are governed by our Returns, Refunds & Exchanges Policy, which forms part of these Terms.

Nothing in that Policy removes a mandatory statutory right.

20. Damaged, Defective or Incorrect Products

If you receive an item that is:

materially damaged;

defective;

the wrong item;

incorrectly programmed due to our error; or

materially different from its description,

contact us promptly so that we can assess and provide an appropriate remedy.

We may reasonably request photographs, video or other information needed to confirm the issue or support a carrier claim.

21. Intellectual Property

The Tap4Feedback website, brand marks, product names, graphics, original photographs, videos, copy and other proprietary content are owned by or licensed to Tap4Feedback except where otherwise stated.

You may not reproduce, copy, distribute or commercially exploit our proprietary materials without permission, except as permitted by law.

Third-party trademarks remain property of their respective owners.

22. Customer Materials

If you provide a logo, image, text, URL or other material for customization, you represent that you have the necessary rights or authorization to provide and use that material for the requested purpose.

23. Prohibited Uses

You must not knowingly use our products or website:

unlawfully;

fraudulently;

to impersonate another business;

to direct users to malicious or deceptive content;

to manipulate reviews unlawfully;

to misrepresent affiliation with Google or another third party; or

in a manner that infringes intellectual-property or other legal rights.

24. No Review or Business-Performance Guarantee

Tap4Feedback simplifies access to a review destination. It does not control whether a person actually submits a review or what that review says.

Claims such as "One Tap" or "Straight to your Google review page" describe the intended user flow under compatible conditions and are not guarantees that every device or third-party service will perform identically in every circumstance.

Canadian law prohibits materially false or misleading representations concerning products and business interests. (Competition Bureau Canada)

25. Warranties

Nothing in these Terms excludes any condition, warranty, remedy or protection that cannot legally be excluded.

For commercial/B2B purchasers, and only to the maximum extent permitted by applicable law, Tap4Feedback does not provide additional implied guarantees beyond:

the express product description;

any express warranty stated on the applicable product page; and

rights that applicable law does not permit us to exclude.

Ontario's Sale of Goods Act contains implied conditions and warranties, and applicable consumer legislation preserves important protections in consumer transactions. (Government of Ontario)

26. Limitation of Liability

To the maximum extent permitted by applicable law, for a commercial purchaser:

Tap4Feedback will not be liable for indirect, incidental, special or consequential losses arising from matters outside the reasonable scope of the purchased product, including loss of anticipated reviews, search ranking, reputation, business opportunity, sales or profits.

To the maximum extent permitted by law, Tap4Feedback's aggregate contractual liability arising from a particular order will not exceed the amount actually paid to Tap4Feedback for the product giving rise to the claim.

These limitations do not apply where liability cannot legally be limited, including liability arising from fraud, wilful misconduct or other non-waivable legal obligations.

Consumer statutory rights remain unaffected.

27. Indemnity — Commercial Purchasers

Lawyer review recommended.

If you purchase for business purposes, you agree, to the extent legally permitted, to indemnify Tap4Feedback against third-party claims arising directly from:

material you supplied without sufficient rights;

an unlawful destination URL you instructed us to program;

fraudulent or prohibited use of the product; or

your material breach of these Terms.

This provision does not require you to indemnify Tap4Feedback for Tap4Feedback's own negligence or unlawful conduct.

28. Third-Party Services

Tap4Feedback depends on services outside its control, including:

Google;

payment processors;

communications providers;

hosting/CRM platforms;

shipping carriers; and

device/browser manufacturers.

We are not responsible for an independent third party changing, suspending or discontinuing its own services, subject to our obligations under applicable law.

29. Privacy

Our handling of personal information is governed by the Tap4Feedback Privacy Policy.

30. Electronic Communications

You agree that transaction-related communications may be delivered electronically where permitted by law.

Marketing email/SMS is subject to applicable consent and unsubscribe requirements, including CASL where applicable. (ISED Canada)

31. Force Majeure

To the extent permitted by law, Tap4Feedback will not be liable for delay caused by events outside its reasonable control, such as severe weather, carrier disruption, labour interruption, government action, widespread network outages, fire or natural disaster.

This provision does not override mandatory cancellation or refund rights.

32. Governing Law

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, without depriving any consumer of mandatory protections that apply notwithstanding a choice-of-law clause.

Subject to mandatory legal rights, disputes may be brought before the courts of Ontario.

33. Severability

If a provision of these Terms is found unenforceable, the remainder will continue to apply to the extent legally possible.

34. No Waiver

Failure to enforce a provision on one occasion does not automatically waive the right to enforce it later.

35. Assignment

Tap4Feedback may assign these Terms as part of a legitimate corporate reorganization, merger, acquisition or transfer of the business, subject to applicable law.

A purchaser may not transfer contractual rights or obligations where doing so would materially affect fulfilment without our consent, except where law provides otherwise.

36. Entire Agreement

These Terms, the applicable product/order information, the Privacy Policy and Returns, Refunds & Exchanges Policy constitute the applicable agreement concerning a purchase, subject to mandatory law.

37. Changes

We may update these Terms prospectively.

The Terms applicable to a completed order will ordinarily be the version presented or incorporated when that order was placed, except where a change is required by law or agreed by the parties.
